These Terms & Conditions ("Terms") govern your access to and use of Staff Payroll (the "Service"). By registering for or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Staff Payroll provides payroll, attendance, and workforce-management software delivered over the internet. We may update, improve or modify features from time to time.

We may offer a free trial for a limited period. At the end of the trial, continued use of paid features requires an active paid subscription. We may modify or withdraw trial offers at any time.

5. Acceptable use

You agree not to misuse the Service, including by attempting to gain unauthorised access, disrupting the Service, uploading unlawful content, or using it to violate the rights of others or applicable law.

6. Your data & ownership

You retain all rights to the data you and your employees enter ("Customer Data"). You grant us a limited licence to host and process Customer Data solely to provide the Service. You are responsible for the accuracy of Customer Data and for having any consents required to process your employees' information.

7. Intellectual property

The Service, including its software, design and content (excluding Customer Data), is owned by Staff Payroll and protected by intellectual-property laws. You may not copy, modify, or reverse-engineer the Service except as permitted by law.

8. Third-party services

The Service may integrate with third-party hardware and services (e.g. biometric devices, payment and email providers). We are not responsible for third-party services and their use may be subject to their own terms.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind. While we aim to help you stay compliant, you remain responsible for verifying payroll calculations and meeting your legal and statutory obligations.

10. Limitation of liability

To the maximum extent permitted by law, Staff Payroll will not be liable for any indirect, incidental, special or consequential damages, or loss of data, revenue or profits. Our total liability for any claim will not exceed the fees you paid for the Service in the twelve months preceding the claim.

11. Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or to protect the Service. On termination, your right to use the Service ceases; we will make Customer Data available for export for a reasonable period where feasible.

12. Changes to these Terms

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing law

These Terms are governed by the laws of India, and any disputes will be subject to the exclusive jurisdiction of the competent courts, unless otherwise required by applicable law.
